1. Acceptance of Terms
By accessing or using TillShop Technologies' services, you agree to be bound by these Terms and Conditions. This constitutes a legally binding agreement. You represent that you have the authority to enter into this agreement on behalf of your organization.
2. Licensing Restrictions
The following activities are strictly prohibited under all TillShop licensing agreements:
- cancelReverse engineering or decompiling any licensed software
- cancelSublicensing, reselling, or redistributing without written authorization
- cancelUsing licenses for illegal, fraudulent, or unauthorized activities
- cancelCircumventing license management or activation systems
Enterprise Security Notice
Organizations with 500+ seat deployments are subject to specific Enterprise Security Addenda. Contact your account manager to request the applicable addendum.
3. Payment Terms
All fees are non-cancelable and non-refundable except as specified in the Refund Policy. Invoices are due within 30 days of issuance unless otherwise agreed in writing.
A 7-day grace period applies to late payments before service suspension. Late fees of 1.5% per month apply to overdue balances.
4. Subscription Management
- infoUpgrades are available at any time on a pro-rated basis
- infoDowngrades take effect at the end of the current billing term
- infoMid-cycle refunds are not available except for technical failures
- infoCancellations require 30 days written notice before renewal date
5. Limitation of Liability
To the maximum extent permitted by law, TillShop Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill. TillShop's total cumulative liability shall not exceed the amounts paid by you in the 12 months preceding the claim.
6. Governing Law
These Terms are governed by the laws of the State of California, USA, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in San Francisco, California. Failure to enforce any provision of these Terms does not constitute a waiver of that right.
